Alpha Testing Agreement

1. Purpose
You have been personally invited to participate in a closed, invitation-only alpha test of the Preservus application (the “Alpha Program”). This Agreement governs your participation and is in addition to, and where its terms differ, controls over the Application's general Terms of Use for purposes of your alpha access. Our Application Privacy Policy governs how we handle your information; nothing here narrows the commitments made there.
2. Pre-Release Software; No Warranty
The Application is unreleased, pre-production software. Features may change, break, be removed, or behave unpredictably without notice. We do not guarantee that any data, calculation, or insight the Application produces during the Alpha Program is accurate, complete, or will carry forward into a later version of Preservus. Do not rely on the Application as your sole record of any financial information during the Alpha Program.
THE APPLICATION IS PROVIDED “AS IS” DURING THE ALPHA PROGRAM, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
3. Your Data During the Alpha Program
The Alpha Program runs on the same live environment, and under the same security controls described at trust.preservus.io, as the Application generally; it is not a synthetic test environment. If you connect financial accounts through Plaid, that connection and the data we receive from it are handled exactly as described in our Application Privacy Policy. You may disconnect any connected account, or request deletion of your data, at any time by contacting security@preservus.io or marketing@preservus.io.
4. Confidentiality
Features, designs, roadmap information, and other non-public materials you see through the Alpha Program are confidential. You agree not to publicize, screenshot for public posting, or otherwise disclose them to anyone outside the Alpha Program without our prior written consent. This obligation does not apply to information that becomes public other than through your breach of this Agreement, or that we expressly authorize you to share.
5. Feedback
If you provide feedback, bug reports, or suggestions, you grant Preservus a perpetual, royalty-free license to use them to improve the Application, without any obligation to compensate you or attribute the feedback to you.
6. Eligibility and Term
Participation in the Alpha Program is by invitation only and limited to individuals age eighteen or older who reside in the United States. We may end your alpha access, or the Alpha Program itself, at any time, for any reason. You may withdraw from the Alpha Program at any time by contacting us; withdrawal does not affect your rights or obligations that arose before it.
7. No Professional Advice; No Fiduciary Relationship
Nothing in the Application constitutes legal, tax, investment, or financial planning advice, and nothing in the Application should be relied upon as such during the Alpha Program. Preservus is not a registered investment adviser, broker-dealer, law firm, or accounting firm. Your participation does not create an advisory, fiduciary, attorney-client, or accountant-client relationship between you and Preservus.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRESERVUS AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR PARTICIPATION IN THE ALPHA PROGRAM.
9. Governing Law
This Agreement is governed by the laws of the State of Colorado, consistent with our other Application policies.
10. Acknowledgment and Acceptance
By checking the box below and selecting “I Agree,” you acknowledge that you have read this Alpha Testing Agreement and our Application Privacy Policy, that you understand this is pre-release software, and that you consent to Preservus retrieving financial account information on your behalf through Plaid as described in the Application Privacy Policy, if and when you choose to connect an account.
